These Terms of Service (“Terms”) govern your access to and use of the Wonn Pay platform and services. The terms “Wonn Pay”, “Company”, “we”, “us”, or “our” refer to PAYTORAX PAYMENT LTD, a company incorporated under the laws of [Insert Country]. The terms “you” and “user” refer to any individual or legal entity using the Wonn Pay services.

Certain financial services offered via our platform may be provided in partnership with third-party providers (“Partners”). Where specific services have their own terms or policies, those will apply in addition to these Terms.

By registering on or continuing to use any services through our website, mobile application, or web application (collectively, the “Platform”), you acknowledge and agree to be bound by these Terms and our Privacy Policy. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

Important Statement

PAYTORAX PAYMENT LTD is a technology service provider, not a bank. Your account is not insured against losses.

1. Onboarding & Eligibility

Registration

To access Wonn Pay services, you must create an account by providing contact and identification information. The Company may, at its discretion, refuse or terminate any account registration or access without explanation.

Eligibility Criteria

You may use the services only if:

• You are of legal age or represent a legally incorporated entity.

• You are not located in or a resident of a restricted jurisdiction.

• You are not listed on any sanctioned or denied persons lists.

• You do not already hold an existing account under another name.

• You comply with all local and international laws.

It is your responsibility to ensure your use is lawful under your applicable jurisdiction. The Company may update its list of restricted jurisdictions without notice.

2. Account Responsibilities

• You are solely responsible for maintaining confidentiality of your account credentials.

• All activities under your account are considered authorized by you.

• You must notify support@wonnpay.com in case of any unauthorized access or suspicious activity.

• Unauthorized or fraudulent activity may result in account suspension, termination, and legal action.

3. Scope of Services

Platform Features

• Wonn Pay offers a range of services including:

• Purchase of goods and services

• Card transactions

• Wallet access and top-ups

ATM withdrawals (for physical cards)

Non-Custodial Wallet

Virtual Assets are stored in a smart contract-based non-custodial wallet managed on your behalf by PAYTORAX PAYMENT LTD and/or its Partner.

Modifications

We reserve the right to change, suspend, or discontinue any services or features at any time without notice.

4. Partner Services and Third-Party Interactions

• Some services (e.g. on/off ramps, virtual cards) may be facilitated by third-party Partners.

• Partners are not obligated to act as fiduciaries or trustees on your behalf.

• The Company is not liable for third-party service provider actions or inaction.

5. Card Services

Card Issuance

Wonn Pay Cards are issued in partnership with authorized card issuers and are subject to approval.

Card Use

• You may use your Wonn Pay Card at supported merchants or ATMs.

• The Company reserves the right to authorize, decline, or revoke card access at its discretion.

Transaction Authorization and Settlement

• By initiating a transaction, you authorize a temporary hold on equivalent Virtual Assets in your Wallet.

• Acceptable Tokens will be converted at market rates to settle card transactions.

Card Limits and Fees

All cards are subject to transaction limits and associated fees, which are subject to change.

6. Wallet and Virtual Asset Management

• All Virtual Assets in your non-custodial wallet are subject to system, market, and regulatory risk.

• Acceptable Tokens may change depending on regulatory conditions.

• You are responsible for only transferring approved tokens into your wallet.

• Fees and deductions for services, regulatory compliance, and operational activities may apply.

7. Disputes & Chargebacks

• Disputes must be raised within 90 days of transaction date by emailing support@wonnpay.com

• The Company and Partners may investigate and charge applicable dispute handling fees.

• The Company’s and/or Partner’s decision regarding disputes is final and binding.

8. Platform and Device Use

• You must ensure your device is secure and capable of supporting the Wonn Pay Platform.

• You are liable for all activities conducted through your enabled device.

9. User Content and Feedback

• By submitting content (e.g., feedback, profile info), you grant us a license to use, modify, and distribute it for service enhancement and marketing purposes.

• Feedback submitted voluntarily may be used by the Company without compensation.

10. Intellectual Property

• All logos, trademarks, and content on the Platform are owned by PAYTORAX PAYMENT LTD or its licensors.

• You may not copy, modify, distribute, or create derivative works without prior written permission.

11. Prohibited Activities

Users may not:

• Engage in fraud, money laundering, or illegal activities

• Abuse platform infrastructure

• Upload viruses or malicious code

• Circumvent platform security

• Conduct prohibited financial activities (e.g. Ponzi schemes, counterfeit sales, adult content transactions)

12. Termination & Suspension

• The Company may suspend or close your account for breach of terms, inactivity, or legal obligations.

• Account inactivity of 6+ months may result in deactivation. After 12 months, an inactivity fee may apply.

• Post-termination, the Company may withhold or delay refunds pending identification and compliance checks.

13. Refunds

• Refunds are provided at the discretion of the Company and may be subject to identity verification.

• Fees are generally non-refundable unless otherwise stated.

14. Arbitration & Governing Law

All disputes shall be resolved through binding arbitration under the Singapore International Arbitration Centre (SIAC) rules.
These Terms are governed by the laws of Singapore and fall under its exclusive jurisdiction.

15. Limitation of Liability

To the maximum extent permitted by law:

• The Services are provided "as is" without warranty.

• PAYTORAX PAYMENT LTD is not liable for indirect, incidental, or consequential damages.

• Our liability is limited to USD 500 per claim unless otherwise required by law.

16. Indemnification

You agree to indemnify PAYTORAX PAYMENT LTD, its Partners, and affiliates against claims, losses, and legal costs resulting from:

• Breach of these Terms

• Unauthorized use of Services

• Violation of laws or third-party rights

17. Risk Disclosure

• Virtual Assets are volatile, unregulated in many jurisdictions, and may be subject to loss.

• Wonn Pay is not liable for changes in regulatory conditions or user loss due to price volatility or system risk.

• Users are advised to conduct independent research and understand applicable risks.

18. Miscellaneous

• These Terms, along with our Privacy Policy, form the full agreement between you and the Company.

• The Company may modify these Terms without prior notice; continued use signifies acceptance.

• No third-party shall have any rights under these Terms.

• If a clause is deemed invalid, the rest of the Terms remain enforceable.

19. Definitions

• "Acceptable Tokens": Supported cryptocurrencies (e.g. USDT, USDC)

• "Wallet": Your smart contract-based non-custodial wallet

• "Partner": Authorized third-party service provider

• "Card Issuer": Financial institution providing the Wonn Pay Card

• "Instruction": Any authorized action or transaction initiated through your account
